Conditions

Terms of use and conditions of sale

These terms cover two different things. The first part governs use of this website. The second part is the standard proposal for a business-to-business sale. A sale is formed only when the enterprise confirms it in writing. If the English and Italian versions differ, the Italian version prevails.

Who you are dealing with

The website is published by Marco Zipoli, an Italian sole proprietorship trading as ZIPOLI MARCO. It is not a limited company, not an S.r.l., and not a company with share capital. The owner answers for the obligations of the enterprise under Italian law.

Registered office: Via Padova 12, 51018 Pieve a Nievole (PT), Italy. VAT 02133610473. Fiscal code ZPLMRC97E18G491P. REA PT-626975. Companies Register of Pistoia-Prato. Certified email: zipolimarco@cndlpec.it. Email: zipolimarco98@gmail.com. Telephone: +39 379 366 1294.

The prevalent activity is online wholesale of home products, clothing, electronics and cosmetics. The import-export heading on the chamber extract is blank. Cross-border supply is considered order by order, where the law allows, and is not presented as a separate licence.

Use of the website

The pages describe the enterprise and how to write to it. They are information, not a shop. There is no cart, no checkout, and no button that concludes a contract.

Descriptions are written in good faith from the chamber extract and from the way the enterprise intends to trade. They can be incomplete. They are not a warranty of stock, of a brand appointment, or of a certification. The extract records no SOA attestation and no quality certification, and the site does not add one.

You may not use the site to scrape it in a way that degrades the service, to send malware, to impersonate the enterprise, or to present these pages as your own registration. You may link to the public pages.

The enquiry form does not send the message to a server of ours. It prepares a text for you to copy or to open in your own email app. Until you send that email, we have not received it.

Business customers only

Supply is offered to businesses, public bodies and other professionals acting in the course of their trade, who can provide a valid VAT number or an equivalent business identifier.

This website is not directed at consumers. The right of withdrawal in the Consumer Code does not apply to a contract made with a business acting in its trade. If you are buying for private use, do not use this channel.

When a contract exists

A request for a quotation, a message, or a visit to this website is not an order we are obliged to fill. We may decline any enquiry, including because we cannot document the goods, because the destination is restricted, or because the quantity does not make sense for wholesale.

A contract exists only when we confirm the order in writing (email is enough) and that confirmation states at least the goods, the quantity, the price, the currency, and the delivery term. If you pay a proforma that we issued under these terms, that payment is acceptance of the proforma.

If the written confirmation differs from these standard terms, the confirmation prevails on that point. Silence, a previous deal, or a page of this website does not amend a confirmation.

Price, tax and payment

There is no public price list. Prices are those on the proforma or the confirmation. Unless the document says otherwise, prices are in euro and exclusive of VAT.

VAT is applied, not applied, or reverse-charged according to the place of the buyer and the rules in force. You are responsible for a VAT number that is valid and that belongs to you. A wrong VAT number can change the invoice, and we may correct it.

Payment is due on the terms written in the confirmation. If the confirmation is silent, payment is due in full before shipment. We do not grant credit unless we have agreed it in writing.

Pay only to an account named in the confirmation or in a later message from zipolimarco98@gmail.com or from the PEC. Account numbers are not published on this website. If you receive payment details from any other address, stop and check with us before paying.

Late payment by a business is subject to the interest and the lump sum in Legislative Decree 231/2002, without prejudice to further damage we can prove.

Delivery, risk and retention of title

The delivery term is the Incoterm, or the plain-language equivalent, written on the confirmation. If none is written, delivery is FCA at the place named in the confirmation. We do not promise a warehouse we do not have, and the extract records no local unit.

Risk passes according to that delivery term. Dates are estimates unless the confirmation calls a date firm. We are not liable for delay caused by a carrier, a customs hold, a missing document from the producer, or an event outside our reasonable control.

The goods remain our property until we have received the price in full, including any interest due. Until then you hold them with care, you do not pledge them, and you tell us at once if a third party tries to seize them.

Conformity and claims

The goods conform if they match the confirmation, not a photograph, a wish, or a page of this website. Ordinary commercial tolerances apply.

You examine the goods on receipt. Apparent defects, shortages and transport damage are notified in writing within eight days of receipt, with photographs and the packing list. Hidden defects are notified within eight days of discovery and in any case within the limitation period of the Civil Code. A late notice makes the claim unenforceable, as the Civil Code provides for sales between businesses.

The remedy, when a claim is well founded, is replacement, a credit, or a refund of the price of the affected goods, at our reasonable choice. We do not owe lost resale profit unless the law forces that result.

For electronics, conformity marking and the technical file belong to the manufacturer. We do not issue a producer’s declaration of conformity. For cosmetics, we are not the EU responsible person and we do not file the cosmetic notification, unless a separate written contract names us in that role.

Lawful goods only

We do not supply goods that we know to be unsafe, counterfeit, or prohibited for the destination. You do not ask us to. Each of us stops an order that cannot be documented to a standard a careful wholesaler would accept.

Sanctions, export controls and product rules of the destination apply. A confirmation is conditional on those rules still allowing the shipment when it is made.

Intellectual property

The text of this website, the monogram and the arrangement of the pages belong to the enterprise or are used with permission. You may not copy them into another business’s website and present them as your own record.

Names of banks, payment institutions and product brands remain the property of their owners. They are mentioned to identify an account or a category of goods. Mention is not a licence and not a statement that the owner sponsors this enterprise.

Liability for the website

Use of the website is at your own risk. To the extent Italian law allows, we are not liable for indirect or consequential damage arising only from reading the site or from a message that never reached us.

Nothing in these terms excludes liability for fraud, for gross negligence, for death or personal injury caused by our act, or for any other liability that Italian law does not allow us to exclude. Because the seller is a sole proprietorship, these terms do not create a corporate shield that the law does not give.

A supply that is actually confirmed is governed by the confirmation, by these sale conditions where they do not conflict with it, and by the Italian Civil Code. The liability limits in a confirmation, if any, apply to that supply and not to the mere browsing of the site.

Law and court

The website and any contract of sale are governed by Italian law, excluding its conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods, which the parties agree not to apply.

For disputes with a buyer who is a business, the court of Pistoia has exclusive jurisdiction. If a mandatory rule gives a non-business claimant a different court, that rule is not waived. We would rather not have that dispute: write to us first.

Language, changes, severance

The site is published in English and in Italian. The Italian text of these terms and of the privacy notice prevails if there is a difference.

We may update these terms by posting a new version on this page. The version dated 16 October 2026 applies to use of the site from that date, and to sales confirmed after that date. A sale already confirmed keeps the terms that were in force when it was confirmed.

If a clause is held invalid, the rest stays in force. The invalid clause is replaced by the valid rule that is closest to it.

Questions about these terms: zipolimarco98@gmail.com or PEC zipolimarco@cndlpec.it.
